In accordance with the Circular of the CPC Sichuan Provincial Committee and Sichuan Provincial Government on Printing and Releasing'the Plan of the Institutional Reform of Sichuan Provincial Government' and'the Opinion on the Implementation of the Plan of the Institutional Reform of Sichuan Provincial Government',the Sichuan Provincial Commission of State-owned Assets Supervision and Administration ,which is directly under Sichuan Provincial Government （referred to as"the SPCSASA"）,is hereby established. The CPC Committee of State-owned Assets Supervision and Administration Commission of Sichuan Province should fulfill its responsibilities stipulated by CPC Sichuan Provincial Committee.
I. Adjustment of Functions
1） Reinforcing the guidance and pushing forward the reorganization and restructuring of State-owned enterprises and accelerating the adjustment of the layout and structure of the State-owned economy. Promoting the investment of State-owned capital in important sectors and key areas that have a close bearing on the national security and the lifeline of national economy.
2） Reinforcing the responsibilities of State-owned assets operation supervision,risk control and economic responsibility audit and further improving the assessing system on the performance of supervised enterprises,to promote them to fulfill the social responsibilities.
3） Reinforcing the collection of capital gain of the State-owned enterprises and promoting the budget system for managing state capital. Improving the income distribution system of State-owned enterprises.
II. Major functions：
1） To perform the responsibilities of investor,supervise the State-owned assets of provincial enterprises and reinforce the management of State-owned assets based on the fiat of Sichuan Provincial Government,and laws and administrative regulations such as Company Law of the People‘s Republic of China and State-owned Assets of Enterprises Law of the People's Republic of China.
2） To draw up the local regulations and draft rules on State-owned assets through research,and formulate or draw up relevant systems to guide the State-owned assets management in city level by operation of law.
3） To take the responsibilities to supervise the maintenance and appreciation of State-owned assets value and establish and improve the index system of maintenance and appreciation of State-owned assets value. To make assessment criteria and supervise the maintenance and appreciation of State-owned assets value of relevant enterprises through statistics and audit. To take in charge of the income distribution management of supervised enterprises and formulate and implement the income distribution policies on the directors of supervised enterprises.
4） To guide and promote the reform and restructuring of State-owned enterprises and improve their modern corporate system. To improve the corporate governance structure and promote the strategic readjustment of the layout and structure of State-owned economy.
5） To appoint and remove the directors of the supervised enterprises through legal procedures. To assess,praise and punish the directors based on the operating performance. To establish employment mechanism that in conformity with the socialist market economy and modern corporate system and improve incentive and restraining mechanism for operators.
6） To appoint supervisory boards on behalf of provincial government to supervised enterprises based on relevant regulations and take in charge of the routine management of supervisory boards.
7） To participate in the formulation of management regulations on State-owned capital operation budget and submit draft proposal of annual State-owned capital operation budget of supervised enterprises. To organize and supervise the operation of State-owned capital operation budget of supervised enterprises and issue final draft of annual State-owned capital operation of supervised enterprises. To take in charge of the collection of State-owned capital gains from supervised enterprises.
8） To take in charge of the management，such as appoint and remove，of the directors of key state-owned enterprises of part of state assets in city level based on the fiat of the CPC Provincial Committee.
9） To coordinate the local affairs in the reform and development of State-owned enterprises in Sichuan Province of central and ecdemic government.
10） To undertake other tasks assigned by the provincial committee and government.
III. Constitution of the Committee
On the basis of the above functions,17 internal offices are set up in the State-owned Assets Supervision and Administration Commission of Sichuan Province Government. （The CPC Committee of State-owned Assets Supervision and Administration Commission of Sichuan Province）
1） General Office（CPC Committee Office）
The General Office shall coordinate with leaders of committee to deal with office routine work and take in charge of the affairs in relation to comprehensive coordination,official papers and telegrams,conferences,confidential documentation,confidentiality,files,finance,security and administrative management,etc. The Office shall take charge of supervision of important documents,issues decided by CPC Committee and director working conference,and office work. The Office shall provide guidance to the informatization of supervised enterprises.
2） Office for Policies and Rules
The Office for Policies and Rules shall draw up the policies,local regulations and draft regulations on the management and supervision of State-owned assets and undertake the audit and coordination on relevant regulations and important policy documents. The Office shall provide guidance to the supervision and management of State-owned assets in city level and investigate and research significant problems as management system of State-owned assets and the reform and development of State-owned enterprises,and make relevant proposal. The Office shall provide guidance to affairs concerning law consultation for supervised enterprises and undertake the legal affairs of the office.
3） Office for Investment and Planning
The Office for Investment and Planning shall make proposals of policies on layout of State-owned economy and strategic structure adjustment and provide guidance to the structure adjustment of supervised enterprises. The Office shall audit the development strategy and planning of supervised enterprises and undertake the responsibilities of investors for important investment decision of supervised enterprises. The Office shall assist the supervised enterprises to solve the relevant problems in their development procedure.
4） Office for Assessment and Distribution
The Office shall formulate and improve the assessment system on the operation performance of directors of State-owned enterprises and conduct the annual and office term assessment of the directors of regulated enterprises. The Office shall propose and implement the remuneration system and incentive measures for the directors of State-owned enterprises,and propose the reform income distribution reform of State-owned enterprises and undertake the adjustment of overall income distribution of provincial enterprises. The Office shall specify the duty consumption of directors of supervised enterprises and the employee's welfare and improve and implement franchising operation system.
5） Office for Financial Supervision and Assessment
The Office for Financial Supervision and Evaluation shall undertake the financial budget and statement of supervised enterprises and establish and improve the performance appraisal and index systems of supervised enterprises. The Office shall research and propose the suggestions and measures on the accountability for the heavy loss of assets of supervised enterprises and undertake the asset and capital verification and cancel after verification of asserts loss for the supervised enterprises and statistics and analysis of State-owned assets. The Office shall comprehensively research the economic performance situation of the supervised enterprises.
6） Office for Supervision and Administration of Property Rights
The Office for Supervision and Administration of Property Rights shall propose the suggestions on the improvement of the administration of State-owned property rights and draw up and implement the regulations and administrative measures on the delimitation,registration,transformation and disposition of property rights of State-owned assets and settlement of property rights infringements. The Office shall undertake the verification and recording of the assets appraisal program of the supervised enterprises and audit the capital variation，stock transformation and debts issue methods and supervise and standardize State-owned property rights deal.
7） Office for Enterprise Reform
The Office for Enterprises Reform shall research and propose the policies on the reform of State-owned enterprises and provide guidance to the construction of modern enterprise system of State-owned enterprises and improve the corporate governance. The Office shall undertake the restructuring and reorganization of supervised enterprises and their key subsidiary enterprises and audit the program of investment on new companies,listing and refinancing. The Office shall research and propose the policies and measures on developing large state-owned and state-holding companies and enterprises with international competitiveness. The Office shall audit the regulations and the amendment of regulations of supervised exclusive State-owned companies and enterprises.
8） Office for Enterprise Reorganization （Coordination Group Office for the Mergers,Bankruptcy and Reemployment of Provincial Enterprises）
The Office for Enterprise Reorganization shall provide guidance to provincial enterprises to free them from performing social functions,and provide guidance to the construction of board of directors of State-owned enterprises,separation of primary business activities from secondary ones,restructuring of secondary business activities and find other positions for their redundant workers within the enterprises. The Office shall undertake the reemployment of laid-off workers with cooperation of other departments and provide guidance to the legal bankruptcy of provincial State-owned enterprises. The Office shall organize and coordinate the merger,dismantlement ,dissolution,liquidation,closure and bankruptcy of supervised enterprises and the reorganizing of enterprises in difficulties. The Office shall undertake the specific work of merger and bankruptcy of provincial enterprises and Coordination Group Office for Reemployment.
9） The Office for Operation Budget of State-owned Capital
The Office for Operation Budget of State-owned Capital shall participate in the formulation for the regulations of operation budget of State-owned capital and propose the annual draft proposal of operation budget of State-owned capital of supervised enterprises and organize and supervise the operation budget of State-owned capital of supervised enterprises. The Office shall edit and submit the annual final draft of operation of State-owned capital of supervised enterprises and organize them to turn over State-owned capital gains. The Office shall organize and implement the economic responsibility audit of the directors of supervised enterprises in and leave the post.
10）The Office for Supervisory Board（The Office for Supervisory Board of Provincial State-owned Enterprises）
The Office for Supervisory Board shall undertake the routine management of
the supervisory board of provincial State-owned enterprises based on relevant regulations.
11）Administration Office for Enterprises Directors
The Administration Office for Enterprises Directors shall undertake the testing and identifying for the directors of supervised enterprises and State-owned enterprises authorized by Provincial CPC Committee and propose suggestions on appointment and removal based on relevant regulations. The Office shall test and recommend the persons suitable for directors,supervisors and outside directors. The Office shall explore the method for the test,evaluation and appointment of enterprise directors that in compliance with the socialist market economy and modern corporate system and draw up the planning that dispatch representative of state stock rights to the state holding and participating stock companies. The Office shall assist to manage leading organs and leading members of the State-owned enterprises in Sichuan Province run by central and ecdemic governments. The Office shall provide guidance to the training of the talents and managers of the supervised enterprises and management service of retired personnel.
12）Office for Coordination
The Office for Coordination shall undertake the liaison work on issues as safety production,emergency management,energy conservation and emission reduction,environmental protection and technological innovation of supervised enterprises and coordinate local affairs in the reform and development of State-owned enterprises in Sichuan Province run by central and ecdemic governments.
13） Office for Party Building（Organization Department of the CPC Committee）
The Office for Party Building shall undertake the party building and construction of Party members of the supervised enterprises and undertake the the research of the Party building of State-owned enterprises.
14） Office for Publicity（Publicity Department of CPC Committee）
The Office for Publicity shall undertake the thought construction,cultural and ethical progress and publicity based on relevant regulations and guide and promote the ideological and political work and corporate culture building of supervised enterprises and overseas publicity and news reporting.
15） Office for Mass Work（ Department of Party and Mass Affairs,Department of United Front Work of CPC Committee）
The Office for Mass Work shall guide and coordinate the work of trade unions,youth league and women‘s federations of State-owned enterprises and undertake the specific work of Working Committee of enterprises in Sichuan Province of CYLC and provide guidance to the United Front Work and intellectual work of supervised enterprises.
16） Office for Complaints and Appeal
The Office for Complaints and Appeal shall undertake the complaints and appeal of offices of Commission and guide and liaise with the work concerning complaints and stability of supervised enterprises.
17） Office for Personnel
The Office for Personnel shall undertake the work as establishment of organizations of offices and subordinate units,and the management of personnel,foreign affairs and retired personnel.
Party Committee for Organs shall undertake the Party and Mass Affairs Work of
offices and subordinate units. The establishment of administrative organs shall be confirmed by the CPC Committee of State-owned Assets Supervision and Administration Commission
of Sichuan Province.
Discipline inspection commissions of State-owned Assets Supervision and
Administration Commission of Sichuan Province work together with Supervisory Bureau accredited by Supervisory Department. General Office,Discipline inspection Office and Regulation Inquisition Office are sep up in Discipline inspection Commission of State-owned
Assets Supervision and Administration Commission of Sichuan Province.
IV. Personnel and Number of Leaders
The State-owned Assets Supervision and Administration Commission of Sichuan Province Government （The CPC Committee of State-owned Assets Supervision and Administration Commission of Sichuan Provincial Committee ） is to have 122 staff,including 15 staff of Discipline inspection Office and accredited Supervisory Bureau . The secretary of Party
Committee of State-owned Assets
Supervision and Administration Commission of Sichuan Province is shared by members of the Standing Committee of the Provincial Committee of CPC and 1 deputy secretary is shared by the leader of Provincial Government. It has 1 director （deputy secretary），1 deputy secretary for specific duty,4 deputy directors（also perform as member of CPC Committee）. The Secretary of Party Committee and Discipline Inspection Commission shall be set up based on the regulations of Provincial Committee. It has 22 staff in department level,including 1 deputy secretary for specific duty of Party Committee of offices or director of Party office,4 deputy secretary for specific duty of Discipline Inspection Commission （accredited Supervisory Bureau） and principal person of inner organizations，26 staff in vice department level,30 Chairman of Board of Supervisors and dispatched supervisory and administrative staff for specific duty.
V. Miscellaneous
1） The Provincial State-owned Assets Supervision and Administration Commission shall supervise the State-owned assets of enterprises legally and perform the functions as investor based on the principles as separation of administrative functions from enterprises management and separation of proprietary rights from management rights. The Provincial State-owned Assets Supervision and Administration Commission shall not directly interpose the production and management of enterprises,to make them market main body and legal entity that have full management authority and responsibility for profits and losses and preserve and increase the value of State-owned property.
2） Provisions for the establishment,functions,and institutional organization of subsidiary institutions shall be formulated otherwise.
VI. Supplementary Provisions
These provisions are subject to the interpretations and adjustment by the Commission of Institutional Organization of the CPC Sichuan Provincial Committee in accordance with specified procedures.
